2.1 Platform Nature

Signal Swap operates as a technology platform and does not provide investment advice, financial planning, or portfolio management services. All trading decisions are automated based on user-configured algorithms or third-party strategies.

3.1 Financial Risks

You acknowledge and understand that:

• Total Loss Risk: You may lose some or all of your invested capital
• Market Volatility: Cryptocurrency markets are highly volatile and unpredictable
• No Guarantees: Past performance does not guarantee future results
• Automated Trading Risks: Automated systems may malfunction or perform unexpectedly
• Liquidity Risks: You may not be able to exit positions when desired
• Technology Risks: System failures, outages, or cyber attacks may affect trading

3.2 Suitability Requirements

By using Signal Swap, you represent that:

• You have sufficient financial resources to bear the risk of loss
• You understand the risks associated with cryptocurrency trading
• You are not investing funds you cannot afford to lose
• You have adequate knowledge and experience in financial markets

4.1 Complete Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SIGNAL SWAP, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, SUPPLIERS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY:

• FINANCIAL LOSSES: Trading losses, missed opportunities, or investment losses
• CONSEQUENTIAL DAMAGES: Lost profits, business interruption, or loss of data
• TECHNICAL FAILURES: System downtime, software bugs, or connectivity issues
• THIRD-PARTY ACTIONS: Exchange failures, regulatory changes, or market manipulation
• SECURITY BREACHES: Unauthorized access, hacking, or data theft
• INDIRECT DAMAGES: Any damages not directly caused by our intentional misconduct

4.2 Maximum Liability Cap

In no event shall Signal Swap's total liability to you exceed the amount of fees you have paid to Signal Swap in the twelve (12) months preceding the claim, up to a maximum of $100 USD.

4.3 Platform Operation Disclaimer

Signal Swap provides the platform "AS IS" and "AS AVAILABLE" without warranties of any kind. We do not guarantee:

• Continuous, uninterrupted, or secure access to our services
• Accuracy, reliability, or completeness of trading signals or data
• Compatibility with all devices, browsers, or operating systems
• Freedom from errors, viruses, or other harmful components

5.1 Account Security

You are solely responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Immediately notifying us of any unauthorized access
• Using strong passwords and enabling two-factor authentication

5.2 Trading Compliance

You agree to:

• Comply with all applicable laws and regulations in your jurisdiction
• Obtain any required licenses or approvals for trading activities
• Report taxable events and pay applicable taxes
• Not engage in market manipulation or illegal trading practices

5.3 Prohibited Activities

You may not:

• Reverse engineer, decompile, or attempt to extract source code
• Use the platform for money laundering or illegal activities
• Create multiple accounts to circumvent limitations
• Interfere with or disrupt the platform's operation
• Share your account access with unauthorized third parties

6.1 Marketplace Disclaimers

Signal Swap acts solely as a platform connecting strategy providers with users. We:

• Do not endorse any specific trading strategies or providers
• Do not guarantee the performance or accuracy of third-party strategies
• Are not responsible for losses resulting from third-party strategies
• Do not verify the credentials or qualifications of strategy providers

6.2 Due Diligence Requirement

Before subscribing to any third-party strategy, you must:

• Conduct your own research and due diligence
• Understand the strategy's methodology and risks
• Review historical performance with appropriate skepticism
• Start with small amounts to test strategy effectiveness

7.1 Platform Ownership

Signal Swap retains all rights, title, and interest in the platform, including:

• Software, algorithms, and technological innovations
• User interface design and user experience
• Trademarks, logos, and brand materials
• Proprietary data aggregation and analysis methods

7.2 User-Generated Content

You retain ownership of your trading strategies but grant Signal Swap a non-exclusive license to:

• Execute your strategies on your behalf
• Display performance metrics to potential subscribers (if published)
• Use aggregated, anonymized data for platform improvements

8.1 Data Collection and Use

Signal Swap collects and processes personal data in accordance with our Privacy Policy, including:

• Account information and identity verification data
• Trading activity and performance metrics
• Platform usage analytics and behavioral data
• Communications and support interactions

8.2 Data Security

While we implement industry-standard security measures, you acknowledge that:

• No system is completely secure from all threats
• You use the platform at your own risk regarding data security
• We are not liable for unauthorized access to your data

9.1 Termination Rights

Either party may terminate this agreement:

• By you: At any time by closing your account
• By us: For any reason with 30 days' notice, or immediately for cause

9.2 Effect of Termination

Upon termination:

• All trading bots will be immediately stopped
• You remain responsible for any outstanding fees or obligations
• We may retain data as required by law or for legitimate business purposes
• These Terms survive termination where applicable

10.1 Jurisdictional Restrictions

Signal Swap services may not be available in all jurisdictions. Users are responsible for:

• Determining whether use of our services is legal in their jurisdiction
• Complying with all applicable local laws and regulations
• Obtaining any required licenses or registrations

10.2 Regulatory Changes

Signal Swap reserves the right to:

• Modify or suspend services due to regulatory requirements
• Implement additional compliance measures
• Restrict access from certain jurisdictions
• Cooperate with regulatory authorities and law enforcement

12.1 Binding Arbitration

Any dispute arising from these Terms shall be resolved through binding arbitration rather than in court, except where prohibited by law. The arbitration shall be conducted under the rules of the American Arbitration Association.

12.2 Class Action Waiver

You waive any right to participate in class action lawsuits or class-wide arbitration against Signal Swap.

12.3 Governing Law

These Terms are governed by the laws of Delaware, United States, without regard to conflict of law principles.

13.1 Modification of Terms

Signal Swap reserves the right to modify these Terms at any time. Material changes will be communicated via email or platform notification. Continued use of the platform constitutes acceptance of modified Terms.

13.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.

13.3 Force Majeure

Signal Swap is not liable for any failure to perform due to circumstances beyond our reasonable control, including natural disasters, government actions, or network failures.

13.4 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Signal Swap regarding the use of our services.
